1. Interpretation and Definitions

1.1 Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

1.2 Definitions

For the purposes of these Terms of Service:

• "Applications" means the software services and programs provided by Supertech and accessed by You through any electronic device, including Supertech's software apps made available through the Apple App Store and Google Play Store.
• "Supertech" (also "We," "Us" or "Our") refers to Supertech, Inc.
• "Customer Data" means information, data, text, pictures, video, and other content that is submitted, posted, or otherwise transmitted by or on behalf of you through the Services.
• "Developed Data" means information obtained from sources other than you, and information derived from Customer Data and your use of the Services.
• "Service" or "Services" refers to the Applications and/or the Website.
• "Website" refers to Supertech's website, accessible from https://thribble.app.
• "You" means the individual accessing or using the Services.

2. Right, License and Restrictions

2.1 License Grant for Services

Subject to your agreement to these Terms and payment of any required fees, Supertech grants you a non-exclusive, non-transferable, revocable limited right and license to access and use the Services.

2.2 Documentation License

Supertech grants you a revocable, non-exclusive, non-sublicensable, non-transferable license to use the Documentation solely in connection with your use of the Services.

2.3 Reservation of Rights

Supertech reserves all rights not expressly granted to you in these Terms.

3. Use of the Services

3.1 Accounts and Access

You must register for an account through the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Personal Responsibility

You are responsible for your use of the Services and for any Customer Data provided under your Account. The following restrictions apply:

• You shall not create an account using false identity or information
• You shall not use the Services to engage in illegal conduct
• You shall not post content that infringes intellectual property rights
• If you are under 13, you shall not use the Services
• If you are between 13-18, you must have parental consent

4. Account Limitations and Prohibitions

You shall not:

• Trick, defraud, or mislead us or other users
• Circumvent security features of the Services
• Copy, modify, or create derivative works of the Services
• Reverse engineer or decompile the Services
• Use the Services for benchmarking or competitive analysis
• Violate any applicable laws in connection with your use

5. Account Information and Management

You agree to supply accurate and complete information when creating your account and to update such information as it changes. You are responsible for maintaining the security of your login credentials.

6. Subscriptions and Fee-Based Services

6.1 Subscriptions

Certain features require subscription fees payable in advance on a monthly or annual basis. All transactions are final and non-refundable except as required by applicable law or App Store terms.

6.2 Renewal

Subscriptions auto-renew unless cancelled prior to the renewal date. You authorize us to charge you for renewal subscriptions.

6.3 Taxes

All charges may include applicable taxes based on your billing address.

7. Apple and Android Devices

When using the Application from the Apple Store or Google Play:

• These Terms are between you and Supertech only, not with the App Distributor
• Supertech is responsible for maintenance and support
• Supertech is responsible for addressing product claims and intellectual property matters
• You represent you are not in a US-embargoed country or on prohibited lists
• App Distributors are third-party beneficiaries of these Terms

8. Suspension and Termination

We may limit, suspend, or terminate your account if you fail to comply with these Terms or for suspected illegal activity. We reserve the right to stop offering the Services at any time.

9. Intellectual Property Ownership

9.1 Supertech IP

Supertech owns all right, title, and interest in the Services, Applications, Website, and Documentation.

9.2 Customer Data

You own your Customer Data. You grant Supertech a license to use Customer Data to provide the Services.

9.3 Algorithm Training

You authorize Supertech to use Developed Data and Customer Data to develop and train AI models that are part of our Services.

10. Links to Other Websites

Our Services may contain links to third-party websites. We are not responsible for the content or practices of these external sites.

11. Term and Termination

These Terms begin when you access the Services and continue until terminated. Upon termination, your right to use the Services ceases immediately.

12. Indemnification

You shall indemnify and hold harmless Supertech from any claims relating to your Customer Data, unauthorized use of the Services, or violations of these Terms.

13. Limitation of Liability

IN NO EVENT WILL SUPERTECH BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE LESSER OF AMOUNTS PAID IN THE PRECEDING 6 MONTHS OR $100 USD.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. SUPERTECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

15. Dispute Resolution

15.1 Informal Negotiations

We each agree to first attempt to negotiate any dispute informally for at least 30 days before initiating arbitration.

15.2 Binding Arbitration

If informal negotiations fail, disputes will be resolved by binding arbitration under AAA Commercial Arbitration Rules. The arbitration will take place in Denver County, Colorado.

15.3 Opt-Out

You can opt out of arbitration within 30 days by sending notice to: Supertech Inc., 1312 17th Street, Unit #2720, Denver, CO 80202.

16. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Supertech.
• Governing Law: These Terms are governed by Colorado law.
• Severability: If any provision is unenforceable, other provisions remain in effect.
• Assignment: You may not assign your rights without our consent.
• Changes: We may modify these Terms with 30 days notice for material changes.
